1. ELIGIBILITY: THIS PROMOTION IS NOT OPEN TO THE GENERAL PUBLIC. Game open only to all legal U.S. residents who are NASD and or NYSE registered representatives who are actively (full time) engaged in the business of advising clients and who enter by logging on to the web site from within the United States. Employees of Commonwealth Financial Network who are directly involved in the planning/ implementation of this promotion, their advertising and promotion agencies, COHEN-FRIEDBERG ASSOCIATES, ASU International, LLC and the immediate family members and/or those living in the same household of each are not eligible.



2. HOW TO PLAY: Visit the Commonwealth Financial Network web site at www.commonwealth.com between 12:01 AM (ET) on Monday, June 18, 2001 and ends at 4:00 PM (ET) on Tuesday September 18, 2001. Complete the registration page, "click" submit and you will enter the "Index IQ Stock Market Game" page. Follow the appropriate directions to enter your best guess as to the exact level (decimals excluded) the Dow Jones Industrial Average, the NASDAQ, and the S&P 500 indices will ALL close at on October 1, 2001. If your entry exactly matches in the same order, all three indices on the October 1, 2001 closing and as reported in the Wall Street Journal on October 2, 2001, you will be notified that you are eligible to claim the $1,000,000* Grand Prize (subject to verification of eligibility). Limit one entry per month per person per e-mail address. If you wish to find out if your entry is the $1,000,000 winning entry visit www.commonwealth.com after 10/8/01. Only the winner(s) will be notified. If you are not the $1,000,000 winner, you may have won one of the other great prizes (see rule #4 below).



3. VERIFICATION: All claims are subject to verification by COHEN- FRIEDBERG ASSOCIATES an independent judging agency whose decisions are final and binding as they pertain to this promotion. All entries submitted becomes sole property of sponsor and will not be returned. Potential Grand and First Prize winners must sign and return an Affidavit of Eligibility/Release of Liability/Prize Acceptance Form within 10 days of attempted notification. Noncompliance or return of prize/prize notification as undeliverable may result in disqualification and an alternate winner may be selected (First and Second Prizes only). Acceptance of prize constitutes permission to sponsor/its agencies to use winner's name/likeness for advertising/trade without further compensation, unless prohibited by law. By accepting prize, winner agrees to hold Sponsor harmless against any/all claims and liability arising out of use of prize. Winners assume all liability for any injury/damage caused/claimed to be caused by participation in this promotion or use/redemption of prize. By participating in promotion, entrants agree to be bound by these "Official Rules" and decisions of judges. In event of error, neither Commonwealth Financial Network nor its affiliates, subsidiaries, promotion, fulfillment, judging agents/agencies shall have any liability. If, due to production/publication error/other error, any entrants are erroneously notified or more prizes are claimed than are intended to be awarded (see Rule #4), intended prizes will be shared equally with all verified prize claims received in each prize category. In no event will sponsor be obligated to award more than the stated number of prizes in these Official Rules.



4. AVAILABLE PRIZES: IF THE $1,000,000 GRAND PRIZE IS UNCLAIMED, IT WILL NOT BE AWARDED. All other prizes will be awarded and winners will be notified by mail.
   
   
   (1) Grand Prize - $1,000,000, to be awarded as a 25-year annuity, payable in equal installments of $40,000 per year with no interest. Odds of winning the Grand Prize are based on the number of eligible entries received and the closing indices (as outlined in these Official Rules) on October 1, 2001. If more than one participant qualifies for the Grand Prize, the prize will be equally divided between all certified winners in this prize category. If the Grand Prize is not won, it will not be awarded.
   
   
   
   (1) First Prize - 1,000,000 free flyer miles on American Airlines® If your entry correctly matches, in the exact order, any two of the three Indices outlined in these Official Rules, you win (pending verification). If more than one participant qualifies for the First Prize, the prize will be divided equally between all certified winners in this prize category. Winner(s) will receive a maximum of 35,000 miles per 12-month period in the form of a Voucher. Voucher must be redeemed between 18 months and 2 years depending on purchase date. Prize subject to the terms and conditions of the American Airlines AAdvantage(tm) program. Commonwealth, at its sole discretion, will determine participating airline program.
   
   
   
   (9) Second Prizes -New England Lobster Clam Bake for 4 people from Legal Seafood® the nations premiere seafood restaurant. From each of the three (3) indices, the next three (3) closest entries (after the Grand and First prize winning entries have been determined) will win. If more than nine participants qualify for the Second Prize (per the Official Rules), the prize will be awarded to the participant(s) with the earliest correct entry.
   
   
   
   PUBLIC RELATIONS: All winning participants of the prizes listed above, will receive an INDEX IQ STOCK MARKET GAME plaque confirming their stock picking ability. Along with the plaque award comes the anything but common™ Commonwealth public relations.



5. GENERAL RULES: Verification of prize claims and conduct of the game are under supervision of COHEN-FRIEDBERG ASSOCIATES an independent judging organization whose decisions are final. Void where prohibited by law. Sponsor and COHEN-FRIEDBERG ASSOCIATES are not responsible for incomplete, lost, late, damaged, illegible or misdirected e-mail or for any technical problems, malfunctions of any telephone lines, computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. The sponsor and COHEN-FRIEDBERG ASSOCIATES is not responsible for any damage to any participant's computer system/software related to or resulting from participation or downloading any materials in this promotion.
   
   CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
   
   If for any reason the promotion is canceled, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes outside control of Sponsor which impair or affect the administration, security, fairness, integrity, or proper conduct of this promotion, Commonwealth Financial Network reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and to cancel, modify, terminate or suspend the promotion. In the event of a dispute regarding any entry the entry will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry (i.e., the person who is assigned to an e-mail address by an Internet access provider, on line service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address). Winner(s) may make no substitution/transfer of prize. All federal/state/local taxes are sole responsibility of winners. All federal/state/local laws and regulations apply. Sponsor reserves right to substitute prize of equal/greater value.
