OFFICIAL RULES AND REGULATIONS

NO PURCHASE REQUIRED to enter or to win. YOU HAVE NOT YET WON! A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

Void where prohibited or restricted by law or regulation. Internet access and a valid email address are required to enter online. Free internet access is available at many public libraries, while free email addresses are typically available from google.com, yahoo.com or similar web sites. You may enter the Sweepstakes by completing the Official Entry Form located at www.imaginetown.com

1) Eligibility: The Imagine Your Future Scholarship Sweepstakes (the "Promotion") is Open to legal residents of the 50 U.S. & D.C., who are at least 18 years of age or older at the time of entry and who is a parent or legal guardian of a minor planning to attend post-high school or higher education. Employees of Ubisoft, Inc. (the “Sponsors”), COHEN-FRIEDBERG ASSOCIATES, LLC (the “Administrators”) and collectively (the “Promotion Entities”), and all of their respective parents, subsidiaries, dealers, affiliates, directors, officers, shareholders, governors, employees, and agents, as well as their respective spouses, children, siblings, and all others residing in the same household as such employees, are not eligible to participate. The Promotion is subject to all federal, state, and local laws and regulations. Void where prohibited by law.

2) Agreement to Official Rules: By participating in this Promotion, each entrant agrees to abide by these Official Rules and the decisions of the Administrators, which are final and legally binding as they pertain to this promotion. All entries become the property of the Sponsors.

3) Timing: Promotion starts at 12:01 am Eastern Time (“ET”) on Monday, September 7, 2009 and ends 11:59 pm ET on Sunday, October 25, 2009 (the "Promotion Period"). The clock maintained by the Administrators in connection with the operation of the Promotion at the promotion website (the “Website”) will be the official timekeeper for this Promotion. Only one registration is necessary, but the sooner you register, the more chances to win. LIMIT: One registration per person for the Promotion Period, Multiple registrations by the same person will result in disqualification for any prize awards. LIMIT: One (1) prize per person or dwelling over the promotion period.

4) How to Enter: You may enter the Sweepstakes by completing the online Official Entry Form found www.imaginetown.com between 9/7/2009-10/25/2009. Registration may include the following: name, complete address, city, state, zip, age, email address and telephone number. After you have submitted your registration, you will automatically be entered into the Sweepstakes drawings. Entries will be placed into the drawing period based on the date of entry receipt, as solely determined by the Website’s clock. All non-winning entries received for a given drawing period WILL be retained for remaining drawings (if any).
There will be a total of four (4) Sweepstakes drawing periods.

Non winning entries will be carried forward to any remaining Sweepstakes drawings (if any).
Drawings & Winner Selection: Random Sweepstakes drawings will be conducted on or about the dates listed above from all valid entries received. The Sweepstakes drawing will be under the control of the Administrators whose decisions shall be final and legally binding as they pertain to this Sweepstakes. Each Grand Prize winner will be notified within 10 days of the drawing via phone, email, mail or express mail whichever is appropriate. Failure to reply to this prize winning notification within 10 days of notification to claim prize, will disqualify the entry and an alternative winner will be selected from all eligible entries received for the Sweepstakes. All other winners will receive their prize 3-4 weeks after the promotion ends. Odds of winning depend on the total number of eligible entries received. Incomplete, illegible or entries made by automated programs will be automatically disqualified. No responsibility is assumed for lost, late, misdirected, damaged, altered or illegible entries. Any attempted form of entry other than as described herein is void. Administrators and or Sponsor will determine in it sole discretion what constitutes a valid entry. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

5) PRIZES (See Rule #4 above for drawing dates): ONLY THE NUMBER OF PRIZES LISTED BELOW WILL BE AWARDED IN THIS PROMOTION. Odds of winning any prize, determined by the number of valid entries in each drawing period divided by the number of prizes being offered.

One (1) Grand Prize in each drawing period (total of four (4) over the Promotion Period):
$25,000 529 Education Fund

Savings Plans work much like a 401K or IRA by investing your contributions in mutual funds or similar investments. The plan will offer you several investment options from which to choose. Your account will go up or down in value based on the performance of the particular option you select. The 529 fund will be administered by Morgan Stanley Smith Barney LLC. Approximate retail value $25,000.

Five (5) Second Prizes in each drawing period (total of twenty (20) over the Promotion Period):

Approximate retail value $20 each.

Grand Prize Winner Notification: Each Grand Prize winner will be required to complete and return an Affidavit of Eligibility and a Liability/Publicity Release form which must be signed by the Winner and received by Sponsor or its designated agent within ten (10) days of the date printed on the notification or otherwise an alternate Winner will be selected from all remaining valid entries.

PLEASE NOTE: Prizes are not transferable by winner. No substitution of prize or cash equivalent is permitted except by Sponsors. Winner will look to the manufacturer of each prize element for all warranties and guarantees (if any), and not to the Sponsor.

Total Approximate Retail Value of all prizes $109,799. Each winner shall be solely responsible for all federal, state and local taxes, and the reporting consequences thereof, and for any fees or costs associated with the applicable prize.

6) ALL POTENTIAL WINNING ENTRIES ARE SUBJECT TO VERIFICATION BY THE ADMINISTRATORS, WHOSE DECISIONS ARE FINAL AND LEGALLY BINDING. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, UNLESS AND UNTIL ENTRANT'S ELIGIBILITY HAVE BEEN VERIFIED.

7) Potential Winners: ALL Potential winners must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. If a potential winner cannot be contacted, or if notices or prizes are returned as undeliverable, that prize will become null and void and will not be awarded.

8) Publicity: Except where prohibited, participation in the Promotion constitutes winner's consent to Sponsor's or agents use of winner's name, likeness, voice, opinions, biographical information, hometown and state for promotional purposes relating to the announcement of winners of the Promotion in any media without further payment or consideration.

9) General Conditions: Sponsor and/or Administrators may cancel or modify the Promotion or these Official Rules if fraud, technical failures or any other factor beyond their control impairs the integrity of the Promotion, as determined by Sponsors and the Administrators in their sole discretion. In such event, Sponsor may award the prizes at random from among the eligible entries received up to the time of the impairment. Sponsors and Administrators may, in their sole discretion, disqualify any individual they find to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner. Sponsor and/or Administrators failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10) Release: By entering entrant agrees to hold harmless and indemnify the Sponsor, Administrators, Promotion Entities, and their respective parents, subsidiaries, affiliates, dealers, directors, stock holders, officers, governors, employees and agents against any and all liability, damages or causes of action (however named or described), with respect to or arising out of either (i) entrant's participation; or (ii) the receipt or use of the prizes awarded in the promotion.

11) Limitations of Liability: Sponsor, Administrators and the Promotion Entities are not responsible for, and entrant hereby releases Sponsor, Administrators, and the Promotion Entities from any claims arising from: (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the entry process or the Promotion; (iv) electronic or human error which may occur in the administration of the Promotion or the processing of entries; or (v) any injury or damage to persons or property, including but not limited to entrant's computer, hardware or software, which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion.

12) Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the state of California; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (3) unless otherwise prohibited, under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion shall be governed by, and construed in accordance with, the laws of the state of California, without giving effect to any choice of law or conflict of law rules (whether of the state of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of California.

13) Participants Personal Information: By entering into this promotion, each entrant agrees to Sponsors’ and Promotion Entities’ use of his or her personal information as described in the website’s Privacy Policy of each (if any) and these official Rules. In the event of any discrepancy, these Official Rules shall control and govern. The personal information collected in this promotion may be shared with the Promotion Entities and other related parties participating in this promotion.

14) Winners List: For a list of prize winners and a copy of these Official Rules print this page or send a self-addressed, stamped envelope to “Imagine Your Future Scholarship Sweepstakes”, PO Box 2001, Framingham, MA 01703-2001. Vermont residents may omit return postage. Requests must be received by 10/25/2009.
